Please read these Terms and Conditions ("Agreement") carefully before using the Heart and Head Coaching website, purchasing any coaching program, enrolling in any course, or engaging any coaching services offered by Heart and Head Coaching ("Company," "we," "us," or "our"). By accessing our website or engaging our services, you ("Client" or "you") agree to be bound by this Agreement.

1. Nature of Coaching Services

Heart and Head Coaching provides personal development, life coaching, mindset coaching, and related educational services (collectively, "Services"). Our coaching is designed to help clients clarify goals, develop strategies, and create meaningful change in their lives.

Coaching is NOT therapy, counseling, or medical treatment.

Specifically, Heart and Head Coaching:

* Is not a licensed mental health provider, psychologist, therapist, psychiatrist, or medical doctor

* Does not diagnose, treat, or cure any mental health condition, physical illness, or medical disorder

* Does not provide legal, financial, nutritional, or medical advice

* Is not a substitute for professional mental health care, substance abuse treatment, or medical attention

If you are currently experiencing a mental health crisis, acute psychological distress, trauma, or require clinical support, we encourage you to seek the assistance of a licensed mental health professional before or in addition to engaging our Services.

2. Acceptance of Terms

By accessing our website, scheduling a consultation, purchasing a coaching package, or enrolling in any program or offering, including signing up for newsletters, quiz results or other features, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, our Privacy Policy, and any additional terms specific to a particular program or service, each of which is incorporated herein by reference.

If you do not agree with any part of this Agreement, please do not use our website or engage our Services.

3. Description of Services

Heart and Head Coaching may offer the following types of Services, subject to availability:

* Individual coaching sessions (in-person, video, or telephone)

* Couples coaching sessions (in-person, video, or telephone)

* Workshops, seminars, online courses and digital learning programs

* Downloadable resources, workbooks, and tools

* Speaking engagements and events

* Email and between-session support as specified in your program

* Books or other publications

The specific scope, format, frequency, and deliverables for each engagement will be detailed in the applicable program description, enrollment form, or coaching agreement, which supplements these Terms.

4. Fees, Payment, and Billing

4.1 Payment

All fees for Services are stated in United States Dollars (USD) and are due in full at the time of purchase unless a payment plan has been explicitly agreed upon in writing. You authorize Heart and Head Coaching to charge your payment method on file for all amounts due.

4.2 Payment Plans

If a payment plan option is offered, all installment payments must be made on schedule. Failure to make a timely payment may result in suspension or termination of access to Services without refund of amounts previously paid.

4.3 Transaction Fees

You are responsible for any foreign transaction fees, currency conversion charges, or other fees imposed by your bank or financial institution in connection with your purchase.

4.4 Taxes

You are responsible for any applicable sales, use, value-added, or other taxes imposed by any governmental authority in connection with your purchase of Services.

5. Cancellation and Refund Policy

5.1 Individual Sessions

To reschedule or cancel an individual or couples coaching session, you must provide at least 48 hours' advance written notice. Sessions cancelled with less than 48 hours' notice or missed without notice are forfeited and non-refundable.

5.2 Coaching Packages

Due to the personalized nature of coaching services and the preparation involved on our part, all coaching package purchases are generally non-refundable once a coaching engagement has commenced. In some cases we may consider transfer of sessions to another individual but that is solely at our discretion and not required under these terms. Unused sessions in a package must be used within six (6) months of purchase or they are forfeited.

5.3 Online Courses and Digital Products

Due to the immediate availability of digital content, all sales of online courses, digital downloads, and recorded programs are final and non-refundable once access has been granted. Specific courses may have specific rules related to product refunds and satisfaction guarantees. Please read specific product information for details.

5.4 Events and Workshops

Cancellations for live events or workshops made more than 30 days before the event date may be eligible for a credit toward a future event. Cancellations within 30 days of the event are non-refundable. Heart and Head Coaching reserves the right to reschedule or cancel any event due to circumstances beyond our control; in such cases, enrolled participants will be offered a credit or refund.

6. No Guarantee of Results

Your results from coaching depend entirely on your own commitment, effort, personal circumstances, and many other factors outside the control of Heart and Head Coaching. We make no warranties, representations, or guarantees — express or implied — regarding specific outcomes, results, income, career advancement, relationships, or any other area of your life.

Testimonials and client success stories shared on our website or in our marketing materials represent individual and couples experiences and are not a guarantee, promise, or prediction of your own results.

. Client Responsibilities

To get the most from your coaching experience and to fulfill your obligations under this Agreement, you agree to:

* Engage honestly, openly, and in good faith throughout the coaching relationship

* Attend scheduled sessions on time and come prepared

* Complete any agreed-upon between-session assignments or action steps

* Notify your coach promptly if your circumstances change or if your goals shift

* Take full responsibility for your own decisions, actions, and outcomes

* Seek appropriate professional help (medical, legal, financial, mental health) when needed

* Maintain respectful and professional conduct in all interactions

8. Confidentiality

8.1 Coach's Obligations

Heart and Head Coaching will hold all information shared by you during our coaching relationship in strict confidence and will not disclose it to any third party without your prior written consent, except as required by law, court order, or where we reasonably believe disclosure is necessary to prevent imminent harm to you or others.

8.2 Exceptions

Confidentiality does not apply to: (a) information that is or becomes publicly known through no fault of ours; (b) information we are required to disclose by applicable law, regulation, or valid legal process; or (c) situations where we believe, in our sole judgment, that there is a risk of serious harm to you or to a third party.

8.3 Client's Obligations

You agree to maintain the confidentiality of any proprietary information, business methods, coaching materials, or frameworks shared with you during the course of our engagement that are not publicly available.

8.4 Technology Limitations

Sessions conducted via video platforms (such as Zoom, Google Meet, or similar services) are subject to the security and privacy terms of those third-party platforms. We recommend reviewing their terms if confidentiality is a concern. While we take reasonable precautions, we cannot guarantee the absolute security of electronically transmitted communications.

Heart and Head Coaching may use AI-assisted tools to help organize session notes or prepare materials. No personally identifying information is shared with third-party AI systems beyond what is necessary for this purpose, and all data is handled in accordance with our Privacy Policy.

9. Intellectual Property

All content on the Heart and Head Coaching website and in our programs — including but not limited to text, graphics, logos, audio, video, course materials, workbooks, frameworks, and methodologies — is the exclusive property of Heart and Head Coaching or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our content solely for your own personal, non-commercial purposes. You may not:

* Copy, reproduce, distribute, or publicly display our content without prior written consent

* Resell, sublicense, or otherwise commercialize our materials without gaining such necessary training, certification or licensing from Heart and Head Coaching.

* Create derivative works based on our content

* Remove or alter any copyright, trademark, or other proprietary notices

10. Website Use and Acceptable Conduct

By using the Heart and Head Coaching website, you agree to use it only for lawful purposes and in a manner that does not infringe upon the rights of others. You agree not to:

* Transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable

* Attempt to gain unauthorized access to any portion of our website or systems

* Use data mining, bots, or other automated tools to collect information from our website

* Impersonate any person or entity or misrepresent your affiliation with any person or entity

* Interfere with or disrupt the integrity or performance of our website

11. Third-Party Links and Resources

Our website and program materials may contain links to third-party websites, resources, or services for your convenience. These links do not constitute an endorsement by Heart and Head Coaching. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites, and we encourage you to review their terms before use.

12. Disclaimer of Warranties

OUR SERVICES AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HEART AND HEAD COACHING, ITS OWNERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES OR WEBSITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE TOTAL AMOUNT YOU PAID TO HEART AND HEAD COACHING IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Heart and Head Coaching and its owners, officers, employees, contractors, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our Services or website; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content you submit or post through our platforms.

15. Termination

Heart and Head Coaching reserves the right to suspend or terminate your access to our Services or website, with or without notice, at our sole discretion, if we determine you have violated these Terms, engaged in disrespectful or harmful conduct, or for any other reason we deem appropriate. Upon termination, your right to use our Services ceases immediately.

Either party may terminate an ongoing coaching engagement upon written notice. In such cases, refunds (if any) will be determined in accordance with Section 5 of these Terms.

16. Force Majeure

Heart and Head Coaching shall not be liable for any failure or delay in the performance of our obligations under this Agreement arising from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, public health emergencies, government orders, power or internet outages, or other events outside our control. In such events, we will make reasonable efforts to reschedule or provide alternative delivery of Services.

17. Governing Law and Dispute Resolution

17.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Hawaii, without regard to its conflict of law principles.

17.2 Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to this Agreement or our Services, the parties agree to first attempt to resolve the matter through good-faith negotiation. If negotiation fails, the parties agree to non-binding mediation before pursuing any other legal remedy.

17.3 Jurisdiction

For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Honolulu, Hawaii.

18. Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference and available on our website. By using our Services, you consent to the data practices described in our Privacy Policy.

19. Modifications to These Terms

Heart and Head Coaching reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the effective date at the top of this page and, where appropriate, by sending notice to the email address on file. Your continued use of our Services following any modification constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

20. Entire Agreement and Severability

These Terms, together with our Privacy Policy and any program-specific terms, constitute the entire agreement between you and Heart and Head Coaching with respect to our Services and supersede all prior or contemporaneous agreements, representations, warranties, and understandings. If any provision of this Agreement is found to be unlawful, void, or unenforceable, that provision shall be deemed severed from this Agreement and shall not affect the validity and enforceability of the remaining provisions.
